Service Agreement
This agreement forms part of the contract between Jacquie Budd and the client and should be read alongside the signed project proposal and my Terms and Conditions.
The proposal sets out the specific work, deliverables, price, payment arrangements and timescales for your project.
This Service Agreement explains how we’ll work together to deliver that work.
Signing the proposal confirms your agreement to this Service Agreement and my Terms and Conditions.
Introduction
I like to keep things simple and straightforward, but it’s important that we both understand what we’ve agreed to and what we can expect from each other.
If anything in this agreement is unclear, please ask before signing the proposal.
Project scope
You are commissioning me to provide the services described in the signed proposal.
The proposal will set out the agreed scope of work, deliverables, timescales, pricing and payment arrangements.
What we both agree to do
As my client, you agree:
You have the authority to enter into this agreement.
To provide me with the information, materials, and access I need to complete the agreed work.
To make sure the information and materials you provide are accurate and that you have the necessary rights to use them.
To review work and provide feedback or approval within the agreed timescales.
To make payments according to the agreed payment schedule.
I agree:
To provide the agreed services with reasonable skill, care, and professionalism.
To keep you informed about the progress of the work where appropriate.
To treat information you provide with respect and confidentiality.
To tell you if I believe something may affect the agreed scope, timescale, or cost.
Relationship of the parties
I am an independent business and work with other clients. This agreement does not create an employment, partnership, agency, or exclusive relationship between us.
I will manage my time and workload so that I can provide the agreed services within the timescales set out in your proposal.
Neither of us is prevented from working with other businesses, provided doing so does not conflict with our obligations under this agreement.
Confidentiality
I understand that I may have access to confidential information about your business, customers, finances, systems, or other matters.
I will use confidential information only for the purpose of providing the agreed services and will not knowingly disclose it to another party except where required by law or where you have given permission.
The service I provide
I will provide the services described in the proposal.
Depending on the project, this may include (but are not limited to) website audits and reviews, website strategy and planning, SEO, content and copywriting, website improvements, Squarespace support, research, or other agreed services.
Deliverables will be supplied in agreed formats or through the platform agreed in the proposal.
For ongoing or retained services, work will be carried out according to the agreed scope or time allocation set out in the proposal. Agreed hours are intended to be used for the work outlined in the proposal. If additional administration, repeated revisions, or changes outside the agreed scope substantially increase the time required, we may need to review the scope, hours, or fees.
Changes to the brief
The agreed price covers the work described in the proposal.
If you change the brief after work has started, or request additional work outside the agreed scope, this may affect the timescale and cost.
Examples might include:
Adding additional pages or deliverables
Substantially changing the structure of a website
Changing the positioning or purpose of a page
Introducing new products or services after work has started
Requesting additional research or work that wasn’t agreed in the original proposal
If that happens, I’ll explain what additional work is involved and agree any changes to the price and timescale with you before proceeding.
Changes and revisions
For content projects, this agreed work normally includes an initial draft and two rounds of revisions.
For website, SEO, and other services, reasonable amendments within the agreed scope are included.
Revisions must relate to the agreed brief and take place before the work is signed off, published, or put into use.
Any work outside the agreed scope will be quoted and agreed separately before proceeding.
Feedback and sign-off
You’ll have the opportunity to review work and provide feedback within the timescales agreed for your project.
Timely feedback is important because delays can affect the project schedule and my availability for other clients.
If I don’t receive feedback within the agreed period, I’ll contact you to check whether you need more time. If a project is substantially delayed, it may need to be rescheduled based on my availability.
If delays, repeated changes, or additional administration significantly increase the time required to deliver the agreed work, I may need to charge for additional time or agree a revised scope. I’ll discuss this with you before any additional charges are incurred.
Communication
Most communication happens by email, with phone or video calls where needed. I like to keep communication simple and straightforward, without adding unnecessary meetings.
Face to face meetings can be arranged where appropriate and may be subject to additional travel time and costs, which will be agreed in advance.
Deadlines
I’ll make every reasonable effort to meet agreed deadlines.
Project timings depend on receiving the information, materials, feedback, approvals, and payments needed to complete the work.
I cannot be responsible for delays caused by late responses, changes to the agreed scope, or circumstances outside my reasonable control.
If I believe a deadline is likely to change, I’ll let you know as soon as reasonably possible.
Payment
Payment arrangements for your project will be set out in the proposal.
Invoices must be paid within the agreed payment period.
Further terms relating to payment, late payment, and cancellation are set out in my Terms and conditions.
When working with agencies, the payment terms agreed in the proposal apply regardless of the agency’s wider project or client sign-off process.
Copyright and use of work
Copyright and intellectual property rights are dealt with in my Terms and conditions.
Unless otherwise agreed, copyright in final written work transfers to you once full payment for that work has been received.
I reserve the right to reference completed work in my portfolio or case studies unless we have agreed otherwise.
Work outside the agreed scope
I will always discuss additional work with you before carrying it out.
If additional work is required, I’ll provide details of the work involved and any additional costs before proceeding.
You will not be charged for additional work that you haven’t agreed to.
Changes to this agreement
Any changes to this agreement or the agreed project scope must be confirmed in writing (email is fine) by both parties.
